Terms of Service

1. Definitions

"Platform"

The S.A.M.I. web dashboard at https://sami-agent.com, the desktop application, and the backend API at https://api.sami-agent.com.

"Operator"

The individual or entity identified in the Imprint (/legal/imprint) who provides the Platform.

"User" / "you"

Any natural person or legal entity that creates an account or accesses the Platform.

"Managed Model Service"

AI inference provided through the Operator's curated model catalog; distinct from any custom provider-credential arrangement available only under the Enterprise plan.

"Content"

Any text, code, prompts, or data you submit to or generate through the Platform.

2. Description of Service

S.A.M.I. (Strategic Agentic Multilayer Intelligence) is a managed AI platform that provides multi-agent orchestration, a curated AI model catalog, retrieval-augmented generation, saved-prompt management, usage analytics, and a desktop IDE for AI-assisted software development. All AI inference runs through the Operator's managed infrastructure — no local AI execution is provided to users below the Enterprise plan.

The Operator may add, modify, or remove features at any time. Where a material feature is removed from a paid plan, you will receive notice in accordance with Section 13.

3. Account Registration

• You must provide accurate, current, and complete information at registration and keep it updated.
• You must be at least 16 years old to create an account.
• You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
• Each natural person or legal entity may hold only one Free-tier account. Multiple free accounts are prohibited.
• You must promptly notify us at contact@sami-agent.com of any suspected unauthorised access to your account.

4. Plans, Billing, and Refunds

4.1 Available Plans

Current plan details — including pricing, included quotas, and feature availability — are published in the Platform at /pricing and are served dynamically from the backend. No plan data is hardcoded in these Terms; the live page is authoritative.

4.2 Billing

• Paid subscriptions are billed on a recurring monthly basis via Stripe Payments Europe, Ltd.
• By subscribing you authorise Stripe to charge your payment method on each renewal date.
• All prices are shown in EUR and are exclusive of VAT where applicable. EU consumers will see VAT-inclusive prices at checkout.
• The Operator may change pricing with 30 days' prior notice sent to your registered email.

4.3 Refunds

Subscriptions are non-refundable for partial calendar months already commenced. If you downgrade or cancel mid-cycle, access continues until the end of the paid period and no partial refund is issued. Exceptions apply where required by mandatory consumer protection law in your country of residence (e.g. EU consumer 14-day withdrawal right for digital services — note that by accessing the service before the 14-day period expires you may forfeit this right; you will be asked to confirm this at checkout). 5. Managed Model Access

The Platform routes your inference requests to third-party AI model providers (listed in the Privacy Policy) based on the model you select. By using the Managed Model Service you acknowledge:

• Model availability may change as providers update their APIs or the Operator adjusts the catalog.
• You may not attempt to extract provider API credentials, bypass the platform's routing layer, or resell inference capacity.
• Using your own provider credentials is available exclusively on the Enterprise plan.
• Usage consumed under your plan quota is non-refundable once processed.

6. Acceptable Use

You must not use the Platform to:

• Generate, transmit, or store content that is unlawful, harmful, defamatory, or infringes third-party intellectual property rights.
• Produce malware, exploit code, or tools designed for unauthorised access to computer systems.
• Circumvent rate limits, quota controls, authentication, or any other security mechanism.
• Conduct automated scraping, crawling, or bulk extraction of Platform data without written consent.
• Deliberately overload the infrastructure or interfere with other users' access.
• Impersonate any person or entity or misrepresent your affiliation.
• Facilitate any activity that violates applicable law, including sanctions and export control rules.

Violation of this section may result in immediate suspension or termination of your account (Section 11) without prior notice.

7. Intellectual Property and Your Content

The Platform, its branding, source code, and documentation are owned by or licensed to the Operator and protected by intellectual property law. You may not reproduce, distribute, or create derivative works without express written permission.

8. AI-Generated Output — Disclaimer

AI-generated output is provided for informational and productivity purposes only. It does not constitute legal, medical, financial, investment, or professional advice. Output may be inaccurate, incomplete, or contain security vulnerabilities. You are solely responsible for reviewing, testing, and validating any AI-generated content before deploying it in production or relying on it for consequential decisions. The Operator makes no warranty as to the correctness, fitness, or completeness of AI-generated output.

9. Suspension and Enforcement

The Operator may suspend or throttle your access at any time, without prior notice, if there is a reasonable belief of: (a) violation of Section 6 (Acceptable Use); (b) fraud or abuse of the billing system; (c) security risk to the Platform or other users; or (d) non-payment of outstanding invoices. For lesser violations the Operator will attempt to contact you before suspension. Suspended accounts may appeal by writing to contact@sami-agent.com.

10. Warranties and Disclaimers

The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, the Operator disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Operator does not warrant that the Platform will be uninterrupted, error-free, or that defects will be corrected.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Operator's aggregate liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the total fees you paid to the Operator in the twelve (12) months immediately preceding the event giving rise to the claim, or EUR 100, whichever is greater.

In no event shall the Operator be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunity — even if advised of the possibility of such damages.

EU consumer law may grant you rights that cannot be waived by contract. These Terms do not affect those mandatory rights.

12. Termination

• You may cancel your account at any time via the dashboard settings. Your access continues until the end of the current billing period.
• The Operator may terminate your account for cause (see Section 9) or terminate the Platform service entirely with 30 days' notice.
• Upon termination, your Content is handled as described in the Privacy Policy (Section 9 thereof).

13. Changes to These Terms

The Operator reserves the right to modify these Terms at any time. Material changes (including changes to pricing, data rights, or liability) will be communicated via email to your registered address at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must cancel your account before the effective date.

14. Data Processing

Processing of your personal data is governed by the Privacy Policy, which is incorporated into these Terms by reference.

15. Governing Law and Jurisdiction

These Terms are governed by the law applicable at the Operator's place of incorporation, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The governing jurisdiction will be specified in the Imprint once the operating entity is incorporated. If you are a consumer under the applicable law of your EU country of residence, the mandatory consumer protection provisions of that country also apply and cannot be contracted out of.
